Welcome to Soora. These Terms of Service ("Terms") govern your access to and use of our mobile applications, website, and services (collectively, the "Services"), including but not limited to Naia and any other applications we develop. By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By downloading, installing, accessing, or using any Soora application or service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our Services.

2. Eligibility

You must be at least 13 years old (or 16 in certain jurisdictions) to use our Services. By using our Services, you represent and warrant that you:

• Meet the minimum age requirement
• Have the legal capacity to enter into these Terms
• Are not barred from using the Services under applicable law
• Will comply with these Terms and all applicable laws and regulations

3. Account Registration

To access certain features of our Services, you may need to create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account

6. User Content

Our Services may allow you to create, upload, store, and share content ("User Content"). You retain ownership of your User Content. By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, and display your User Content solely for the purpose of providing and improving our Services.

You represent and warrant that:

• You own or have the necessary rights to your User Content
• Your User Content does not violate the rights of any third party
• Your User Content complies with these Terms and applicable laws

We do not endorse any User Content and are not responsible for any User Content posted by users.

7. Intellectual Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, software, and the compilation thereof, are the exclusive property of Soora or our licensors and are protected by copyright, trademark, patent, and other intellectual property laws.

Our trademarks, service marks, and logos may not be used without our prior written consent. All other trademarks appearing in our Services are the property of their respective owners.

8. Third-Party Services

Our Services may contain links to or integrate with third-party websites, applications, or services. We are not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is at your own risk and subject to their respective terms and policies.

9. Payment and Subscriptions

Some features of our Services may require payment or subscription. By purchasing a subscription or making a payment, you agree to:

• Pay all applicable fees and charges
• Provide accurate billing information
• Authorize us to charge your payment method

Subscriptions automatically renew unless cancelled before the renewal date. Refunds are provided in accordance with the applicable app store policies (Apple App Store, Google Play Store).

10. Disclaimers

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

• Our Services will be uninterrupted, timely, secure, or error-free
• The results obtained from using our Services will be accurate or reliable
• Any errors in our Services will be corrected
• Our Services will meet your requirements or expectations

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOORA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE OUR SERVICES.

In no event shall our total liability exceed the amount you paid us, if any, for the Services during the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Soora and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of our Services
• Your User Content
• Your violation of these Terms
• Your violation of any rights of another party

13. Termination

We reserve the right to suspend or terminate your access to our Services at any time, with or without cause, and with or without notice. Upon termination:

• Your right to use our Services will immediately cease
• We may delete your account and User Content
• Provisions that by their nature should survive termination will survive

You may terminate your account at any time by deleting your account through the app settings or by contacting us.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website, updating the "Last Updated" date, and where appropriate, notifying you via email or in-app notification.

Your continued use of our Services after such modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using our Services.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or our Services shall be resolved exclusively in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction of such courts.

16. Dispute Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us. If a dispute is not resolved within 30 days of submission, either party may proceed with formal legal proceedings.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Soora regarding the use of our Services.

19. Waiver

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Soora.
